This User Agreement (the "Agreement") is entered into by and between Let’ss Share (the "Company"), a digital platform designed to connect individuals with relevant communities for sharing, support, and collaborative learning, and the User of the Company’s services (the "User" or "You").
Please read this Agreement carefully before using the services offered by the Company. By using the services, you agree to the terms and conditions set forth in this Agreement.
1. Acceptance of Terms
These Terms & Conditions ("Terms") together with our Privacy Policy (which you can view by clicking here) and Cookie Policy (which you can view by clicking here) and Refund Policy (which you can view by clicking here), govern your access and use of Let’ss Share mobile application.
By accessing or using the services provided by Let’ss Share, you agree to be bound by the terms and conditions outlined in this Agreement. If you do not agree with any part of these terms, you must not use the services.
2. Description of Services
Let’ss Share provides a platform that allows users to join and create communities, share content, communicate with others, and manage events. The services include:
- Community Creation and Membership: Users can create new communities or join existing ones based on their interests.
- Content Sharing: Users can post content, share experiences, ask questions, and engage in discussions within their communities.
- Event Management: Communities can organize meetups, webinars, conferences, and various events.
- Messaging System: Built-in chat functionality for private communication between members of the community.
- Premium Community Management: Premium tools for community managers, including exclusive content and personalized services.
3. Target Audience, Purpose, and Vision of the App
Let’ss Share is designed for individuals who are looking to connect with relevant communities, whether it be for professional networking, hobbies, social groups, or support communities. The app aims to provide a space where users can engage, share, learn, and support one another within these communities.
The purpose of Let’ss Share is to create meaningful connections and foster personal growth by offering a platform for users to join or build communities that align with their interests, values, or needs.
The vision of Let’ss Share is to build strong and supportive communities that have a positive impact on individuals’ lives. We believe that communities are powerful tools for change, and that fostering collaboration and support is key to creating lasting value and making a difference in the world.
The app is suitable for:
- Individual users seeking to join relevant communities (such as hobbyists, social groups, study groups, support groups, etc.)
- Community managers seeking tools for managing large groups and ensuring effective communication within the community.
- Businesses, brands, and creators looking to build a community around their brand and engage with users through exclusive content.
- Social organizations and non-profits aiming to promote shared goals, recruit volunteers, and build support networks.
4. Eligibility
By using the services, you confirm that you are at least 18 years of age, or the legal age required by the jurisdiction in which you reside to use the platform. If you are under the required age, you must obtain parental consent or the consent of your legal guardian to use the services.
5. User Registration and Account
To access certain features of the services, you may be required to register for an account. You agree to provide accurate, complete, and current information during the registration process and to keep this information up to date. You are responsible for maintaining the confidentiality of your account and password and for all activities under your account.
6. Community Guidelines
The User agrees to abide by the community guidelines set forth by the Company, including maintaining respect and courtesy towards other members. The Company reserves the right to remove any content or users that violate these guidelines or engage in harmful, illegal, or disruptive behavior.
7. Privacy Policy
The Company is committed to protecting your privacy and will process your personal data in accordance with its Privacy Policy. By using the services, you consent to the collection and use of your personal information as described in the Privacy Policy.
8. Use of Artificial Intelligence (AI)
– Use of AI Technology: The Company reserves the right to utilize artificial intelligence (AI) technology within the Let’ss Share platform to enhance the user experience, analyze data, and improve the services provided. This includes, but is not limited to, the use of AI for data processing, content personalization, recommendations, user behavior analysis, and other features designed to optimize platform functionality.
– Data Analysis and Processing: By using the Let’ss Share platform, you acknowledge and consent to the Company's use of AI-driven algorithms and models for analyzing user data. This analysis may include the aggregation of data related to your activities, preferences, interactions with the platform, and other relevant information to improve service offerings and deliver personalized experiences.
– Data Privacy and Protection: The use of AI in analyzing user data will always be subject to the Company’s Privacy Policy. The Company will ensure that AI-driven processes comply with applicable privacy laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) if relevant. Personal data will not be shared or used in ways that violate your privacy rights.
– AI Limitations: While the Company utilizes AI to improve platform services, the User acknowledges that AI is not infallible and may produce imperfect results or recommendations. The Company does not guarantee the accuracy, effectiveness, or reliability of AI-driven decisions or features.
– User Consent: By using the Let’ss Share platform, you provide consent for the Company to utilize AI technology as described in this section. If you do not agree with the use of AI for data analysis and processing, you may choose to discontinue using the platform.
9. Content Ownership and License
All content shared by the User on the platform remains the property of the User. However, by posting content, the User grants the Company a worldwide, royalty-free, non-exclusive license to use, display, and distribute the content for purposes related to the Services. You represent that you have the right to post the content you share.
10. Intellectual Property
- Ownership of Content: All content, including but not limited to text, images, graphics, logos, videos, software, and other materials (the "Content") provided on the Let’ss Share platform, whether by the Company or users, is the exclusive property of the Company or its licensors, unless otherwise stated. The User acknowledges that the Content is protected by copyright, trademark, patent, and other intellectual property
- License to Use the Platform: Subject to the terms of this Agreement, the Company grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for personal and non-commercial purposes only. This license does not grant the User any ownership rights over the platform or it’s Content.
- User-Generated Content: Any content that the User uploads, submits, or shares on the Let’ss Share platform, including posts, images, comments, and messages (the "User-Generated Content"), remains the intellectual property of the User. However, by submitting or posting User-Generated Content on the platform, the User grants the Company a worldwide, royalty-free, irrevocable, and sub licensable license to use, display, modify, distribute, and otherwise exploit such content for the purpose of operating, promoting, and improving the platform.
- Restrictions on Use: The User agrees not to: – Reproduce, distribute, modify, or create derivative works of any part of the platform or its Content without prior written consent from the Company. – Use any part of the platform for any illegal or unauthorized purpose, including infringing upon the intellectual property rights of others. – Reverse engineer, decompile, or disassemble any software or other technology used in the platform.
- Infringement of Intellectual Property Rights: If you believe that any content posted on the Let’ss Share platform infringes upon your intellectual property rights, you may submit a notice of infringement to the Company, including the following information:
- A description of the intellectual property that has been infringed.
- A description of the infringing content and its location on the platform.
- Your contact information, including your name, address, and email address.
- A statement by you that you have a good faith belief that the content is infringing your rights.
- A statement under penalty of perjury that the information in the notice is accurate
- Termination of Rights: Upon termination of this Agreement or the User’s account, the User’s license to use the platform will automatically terminate, and the User must cease all use of the platform and it’s Content.
11. Paid Services
Certain features or services offered on Let’ss Share may be subject to fees. These include but are not limited to premium tools for community management and exclusive content. By subscribing to these paid features, you agree to the payment terms specified at the time of purchase.
12. Restrictions on Use
You agree not to use the services for any unlawful purpose or to infringe the rights of others. You shall not engage in harassment, spamming, distribution of harmful content, or any other conduct that disrupts the proper functioning of the platform.
13. Limitation of Liability
The Company shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages arising from your use or inability to use the services. The platform is provided on an "as-is" and "as-available" basis.
14. Indemnification
The User agrees to indemnify and hold the Company, its affiliates, employees, and agents harmless from any claims, losses, damages, liabilities, or expenses (including reasonable attorney's fees) arising out of the User’s violation of this Agreement or use of the services.
15. User-Generated Content
The User is solely responsible for the content they share on the platform. The Company reserves the right to remove any content that violates the terms of this Agreement or infringes on the intellectual property rights of others.
16. Event Management and Cancellations
Communities can organize and manage events through the platform. The Company does not take responsibility for the execution of events and is not liable for cancellations, technical issues, or participant disputes. Any issues should be addressed directly with the event organizers.
17. Data Security and Compliance
While the Company takes reasonable measures to ensure the security of personal data, it cannot guarantee the absolute security of your information. You are responsible for keeping your account details secure, including your password and personal information.
18. Third-Party Links
Let’ss Share may contain links to third-party websites or services that are not controlled by the Company. The Company is not responsible for the content, privacy practices, or security of these third-party websites.
19. Termination and Suspension
The Company reserves the right to suspend or terminate the User's access to the Services at any time and without notice if the User violates this Agreement. Upon termination, all rights and privileges granted under this Agreement shall immediately cease.
20. Modifications to the Services
The Company reserves the right to modify or discontinue any part of the Services at any time without notice. The User acknowledges that the Company shall not be held liable for any damages resulting from such changes or discontinuation.
21. Marketing and Promotional Communications
The Company may send marketing or promotional communications to the User regarding the Services. The User may opt-out of such communications at any time by adjusting their notification settings or following the instructions in the communication.
22. Dispute Resolution and Arbitration
In the event of a dispute arising from this Agreement, the User agrees to resolve the dispute through binding arbitration rather than litigation, according to the laws of Delaware, USA. Any disputes will be handled by an independent arbitrator chosen by both parties.
23. Governing Law
This Agreement will be governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes shall be resolved within the jurisdiction of Delaware courts.
24. Force Majeure
The Company shall not be responsible for any failure or delay in the performance of its obligations under this Agreement if such delay or failure is caused by circumstances beyond its control, including, but not limited to, natural disasters, government actions, or other unforeseen events.
25. Confidentiality
The User agrees not to disclose any confidential or proprietary information belonging to the Company or other users that is shared during their use of the Services.
26. Refund and Return Policy
Refunds for paid services will be subject to the Company’s Refund Policy. Users must submit refund requests in accordance with the guidelines set out in the Refund Policy for consideration.
27. Entire Agreement
This Agreement constitutes the entire understanding between the User and the Company regarding the use of the Services. Any amendments or additions to this Agreement must be made in writing and signed by both parties.
28. Severability
If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, the remainder of the Agreement will continue in full force and effect.
